Terms of Service

These Terms of Service ("Terms") govern all work performed by True Impulse ("we," "us," "Company") for clients ("you," "Client"). By accepting a proposal, paying an invoice, or engaging our services, you agree to these Terms.
Payment constitutes acceptance. By paying an invoice, you accept the associated Statement of Work and these Terms of Service.
1. Services
True Impulse provides design, product development, and go-to-market strategy services for founders and businesses. The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate Statement of Work (SOW) or service agreement.
2. Engagement Process
Our typical engagement process includes:
- Initial consultation to understand your needs and goals
- Proposal and Statement of Work outlining scope, timeline, and investment
- Signed agreement and project kickoff
- Iterative development with regular check-ins
- Delivery and handoff
3. Payment Terms
Payment schedules are specified in each Statement of Work.
- Invoices are due within 14 days of issue unless otherwise stated
- We accept ACH/bank transfer (no fee) or credit card (+3% processing fee)
- Late payments accrue interest at 1.5% per month (or the maximum rate permitted by law)
- Work may be paused on accounts more than 7 days past due
- Deposits are non-refundable once work has commenced
4. Intellectual Property
Your Content: You retain ownership of all materials, content, and intellectual property you provide to us for the project.
Deliverables: Upon full payment, you will own all rights to the final deliverables created specifically for your project, unless otherwise specified in the service agreement.
Our Tools: We retain ownership of our pre-existing tools, frameworks, methodologies, and any general-purpose code or components that may be incorporated into deliverables.
5. Confidentiality
We will treat your business information as confidential and will not share it with third parties except as necessary to complete the work (e.g., domain registrars, hosting providers). This obligation survives termination of our engagement.
6. Portfolio & Attribution
Unless you notify us otherwise in writing, we may include completed work in our portfolio and marketing materials, and may include a small "Site by True Impulse" credit on websites we build.
7. Client Responsibilities
To ensure project success, you agree to:
- Provide timely feedback and approvals
- Supply necessary materials, content, and access
- Designate a primary point of contact
- Communicate scope changes promptly
8. Changes and Revisions
Our service agreements include a defined scope and number of revision rounds. Changes outside the original scope may require a change order with additional fees and timeline adjustments.
9. Termination
Either party may terminate an engagement with written notice as specified in the service agreement. Upon termination:
- Payment is due for all work completed to date
- Deliverables completed and paid for will be transferred to you
- Work in progress may be delivered at our discretion
10. Warranties & Liability
- We warrant that our work will substantially conform to the agreed specifications
- We will correct any defects identified within 30 days of delivery at no additional cost
- Our total liability is limited to fees actually paid for the specific deliverable in question
- We are not liable for indirect, incidental, or consequential damages
- We do not guarantee specific business outcomes, revenue, or results from our work
11. Third-Party Services
We may recommend or integrate third-party services (hosting, analytics, payment processors). You are responsible for agreeing to their terms and paying their fees directly. We are not liable for third-party service outages or issues.
12. Website Use
By using our website, you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the site's functionality
- Copy or reproduce our content without permission
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Your continued use of our services constitutes acceptance of the updated Terms.
